NASHVILLE, Tenn. (AP) ? Grand Ole Opry owner Gaylord Entertainment has agreed to sell its hotel brand and the rights to manage its four hotels to Marriott for $210 million in cash.
The deal announced Thursday follows six months of reviewing options for its business. It will still own the four hotels it's letting Marriott manage. By handing over day-to-day control of the hotels to Marriott, Gaylord expects to save between $33 million and $40 million a year.
Nashville, Tenn.-based Gaylord then plans to reorganize as a real estate investment trust on Jan. 1, in a move aimed at significantly lowering its tax bill. It will continue to own and operate the Grand Ole Opry, Ryman Auditorium (formerly the Grand Ole Opry house) and other attractions as taxable real estate investment trust subsidiaries.
The hotels Marriott will take over are the Gaylord National Resort and Convention Center in Maryland, Gaylord Opryland in Nashville, Gaylord Palms in Orlando and Gaylord Texan in Grapevine, Texas.
Marriott said the deal is part of its plan to expand its group travel and meetings business.
Marriott International Inc., based in Bethesda, Md., has more than 3,700 properties in 73 countries and territories under 17 brands, including Marriott Hotels & Resorts, The Ritz-Carlton, Courtyard, Fairfield Inn & Suites and Residence Inn.
The deal is subject to certain conditions, including shareholders' approval of Gaylord becoming a real estate investment trust.
Gaylord shares climbed 6 percent on the news, adding $2.06 to reach $36.54 in morning trading after rising as high as $38.76 earlier in the day. Shares of Marriott lost 61 cents, or 1.6 percent, to $37.67.

In IndusInd Bank v. ACIT, ITA 6566/Mum/2002, a Special Bench of the Tribunal had to consider whether depreciation would be allowed to the lessor or to the lessee. The facts were that the assessee, a bank, entered into an agreement with another company under which the assessee was lease out a boiler to the company for a specific fixed period, subject to payment of lease rent. After the expiry of the period, the asset was to be sold to the company. The assessee bank claimed depreciation on the boiler. The Assessing Officer did not accept this claim on the ground that the transaction was merely a paper transaction. At best, according to the assessing officer, the transaction could be categorized as a finance lease and not an operating lease.
The Special Bench noted that in substance, a finance lease is akin to a loan from the lessor to the lessee. After examining the decision of the Supreme Court in Asea Brown Boveri v. IFCI 54 Taxman 512 (SC), and Association of Leasing & Financial Services Companies v. Union of India , and relying on Accounting Standard ? 19, the Special Bench noted the broad features of a finance lease as under (para 5.14 of the order of the Bench):
-???????? A finance lease is non-cancelable, and there is a fixed obligation on the lessee for payment of lease rent for the period of the lease. If the lease is terminated prematurely by the lessee, the lessor is entitled to recover his investment along with expected interest.
-???????? A finance lease is always for a fixed period. This period is calculated by taking into consideration the economic life of the asset; and is settled in such a way so as to fully recover the investment of the lessor together with interest.
-???????? The lessor is interested in the recoupment of his investment with interest in
the shape of rentals over the period of lease, and not really with the asset itself or its user.
-???????? The lessee bears the responsibility of costs of insurance, repairs, maintenance etc. The features of bailment are absent. An operating lease, on the other hand, has the features of bailment. In a finance lease, the responsibility of the lessee is not restricted only to taking ?as much care as a man of ordinary prudence would? as warranted under section 151 of the Contract Act, but extends beyond this threshold.
-???????? The equipment is chosen by the lessee, but the payment to the supplier is made by the lessor. Thus, the lessee chooses the assets, takes delivery, enjoys the
use of the asset, and bears the risks and costs of its wear and tear, taxes/charges in relation to the asset etc. The risks and rewards incidental to ownership vest with the lessee and not with the lessor. The lessor simply holds the title of asset by way of security for recouping the investment and interest.
The Special Bench further noted that in the case of an operating lease, a lessor can claim depreciation; however, in the case of a finance lease, only the lessee would be entitled to claim depreciation. The Tribunal noted that even for the purposes of tax law, ?In a lease transaction also there can be only one owner of the asset, that is, either the lessor or lessee and not both of them or either of them at their discretion. Whereas in the case of operating lease, it is the lessor who is the real owner of the asset, but in case of finance lease, it is the lessee who is to be regarded as the real owner of the asset. Ex consequenti only the lessor can claim depreciation in case of an operating lease and the lessee, as to who should be conferred the benefit of deprecation allowance.?
Further examining the terms of the agreement between the parties, the Special Bench held that the lease agreement was a paper transaction to cover up the reality. The bench noted, following the decision of the Supreme Court in Sundaram Finance Limited v. State of Kerala AIR 1966 SC 1178, ?The true effect of a transaction may be determined from the terms of the agreement considered in the light of the surrounding circumstances. In each case the Court has, unless prohibited by the statute, power to go beyond the document and to determine the nature of transaction, whatever may be the form of the document??
The Delhi High court also recently considered the question of when an agreement should be considered as a finance lease and when it should be considered as an operating lease. The Court reaffirmed that the question could not be decided by merely looking at the title, nomenclature or label given to the agreement: the terms and conditions of the Agreement are relevant but not conclusive. Surrounding circumstances can look at. The court followed Sundaram Finance, which in turn had relied on the following observation of Lord Esher MR in Re Watson ??When the transaction is in truth merely a loan transaction, and the lender is to be repaid his loan and to have a security upon the goods, it will be unavailing to cloak the reality of the transaction by a sham purchase and hiring. It will be a question of fact in each case whether there is a real purchase and sale complete before the hiring agreement. If there be such a purchase and sale in fact and afterwards the goods are hired, the case is not within the Bills of Sale Act. The document itself must be looked at as part of the evidence, but it is only part, and the Court must look at the other facts and ascertain the actual truth of the case.?
At the same time, these observations must not be treated as giving complete freedom to the revenue to ignore the wording of the contract between the parties: the Madras High Court recently clarified (CIT v. M/s High Energy Batteries, T.C. 579/2005, decided on 17th April, 2012; a decision in the context of a reopening of assessment where the Revenue?s stance was that a sale and lease back transaction was not genuine), ?Given the freedom to enter into agreements with parties and guided by commercial considerations, even to invoke the theory of tax evasion, the Revenue must have sufficient material to draw an inference of what had been shown as an understanding on an agreement between the parties, is not, in fact, so.?
It is thus clear from these decisions that the distinction between operating leases and finance leases (clarified by the Supreme Court in ABB?s case) is relevant in income tax law as well, and suitable care needs to be taken in structuring transactions and drafting the agreements to avail of appropriate tax benefits.

Both cod liver oil and fish body oil are oils derived from fish that are rich in omega-3 fatty acids. Cod liver oil is derived specifically from the liver of cod, while fish body is derived from the body of fish. Because the liver is a reservoir of Vitamin A, cod liver oil is higher in Vitamin A content than fish body oil.
The vitamin A concentrations can vary between specific brands of cod liver oil. Some manufacturers will add additional vitamin A to cod liver oil to boost Vitamin A levels. Nordic Naturals does not add additional Vitamin A. The natural vitamin A is acceptable for pets.
Because Vitamin A is fat soluble, it can accumulate in the liver and body and can have harmful effects when supplemented in excessive levels.
Pet owners should be aware of other foods or treats fed to their pets that may also provide high levels of Vitamin A (such as liver), and take all these things into consideration when evaluating the safety of their pet?s diet and additional supplements. After I determined that the product would be more than safe to give Sherman I started the revew and gave him 1 teaspoon of the Pet Cod Liver Oil on his food every evening for 2 months. Sherman loves fish so I knew that he would really enjoy this, and he did.

MIAMI (AP) ? A big early Miami lead was wasted. Once the Heat took control again, they simply ran away from the Boston Celtics.
And the NBA finals are now three wins away for LeBron James and the Heat.
James scored 32 points and grabbed 13 rebounds, Dwyane Wade scored 10 of his 22 points in the fourth quarter and the Heat beat the Celtics 93-79 on Monday night in Game 1 of the Eastern Conference finals.
Shane Battier, playing in the conference finals for the first time, scored 10 points and had 10 rebounds for the Heat, who wasted an early 11-point first-half lead before running away to break a halftime tie. Miami outrebounded the Celtics 48-33, and blocked 11 Boston shots.
It was those last two stats that had James lauding the night as a team effort.
"We get a lot of the press, we get a lot of the headlines," James said. "But our teammates, they do everything to help us win ball games."
Kevin Garnett scored 23 points and grabbed 10 rebounds for Boston, which got 16 points, nine rebounds and seven assists from Rajon Rondo and 12 points from Paul Pierce. Ray Allen shot just 1 for 7 from the floor for Boston, which was outscored by 10 in the first quarter and 11 in the third.
"On the road, you can't have two quarters of lulls," Celtics coach Doc Rivers said.
Game 2 is Wednesday night in Miami.
It's the third straight year the Heat and Celtics have met in the playoffs, the third straight year James has seen his postseason path go through Boston as well ? the first of those matchups coming in 2010, his final run with Cleveland.
Each of those came in the first or second rounds, not this close to the NBA finals.
And while both sides would say there's a long way to go in this series, Game 1 winners have a decided edge in any best-of-seven, the conference final being no exception. In the most recent 10 postseasons, teams with 1-0 leads in conference finals have advanced 15 out of 20 times. One of the five instances of a team rallying from a one-game deficit was last year, when Miami ousted Chicago in five games.
Last season's Miami-Boston series ended with James scoring the final 10 points of Game 5, and the start of this year's matchup had him putting on another offensive display.
He had 13 points in the first quarter ? two more than the entire Celtics roster ? and Miami ran out to a 21-11 lead after the opening period. Garnett made three of his four shots in the quarter, while everyone else in Boston green was 2 for 16 from the floor.
"They came to play," Rivers said. "I mean Miami."
The 11 points matched the lowest output by any team in the opening quarter this postseason. The other team to manage that few was San Antonio, which then dropped 32 on the Los Angeles Clippers in the second quarter of their game on May 19.
The Celtics' response was even better.
Boston scored 35 in the second quarter, erasing what was an 11-point deficit early in the period by scoring 27 points in the final 8:46 of the half to pull into a 46-all tie. Rondo, Garnett and Pierce combined to score 23 points in the quarter, looking absolutely vintage, near-perfect offensive execution getting to Miami time and time again. And the Celtics' comeback happened even while they got hit with three technical fouls in the second quarter, plus Allen missing four first-half free throws ? matching his career-worst for an entire game.
In the end, it went down as merely a one-quarter lapse for Miami.
Another technical foul, this one on Rondo, came in the third quarter, likely born from frustration as the Heat started to roll again.
With the game tied at 50, Rondo missed three shots in a 31-second span early in the third, the last of those getting blocked by Battier ? who hit a 3-pointer 11 seconds later. It started a 9-2 Miami burst, including a touchdown pass from Wade to James ? Wade grabbed the rebound of a miss by Pierce, spun and delivered a 90-foot pass to the reigning MVP ? for an easy score.
Miami led by as many as 13 late in the third, before taking a 72-61 lead into the fourth. James scored 10 more in the third, Boston went cold again shooting just 27 percent in the period, and Wade's left-handed bullet pass into the lane set up Joel Anthony for a dunk that pushed the Heat lead to 15 with 10:13 remaining.
"We'll go back and see what we can do better," Rivers said. "And we'll fix it."

VATICAN CITY (AP) ? The biggest scandal to rock the Vatican in decades widened Monday with the pope's butler, arrested for allegedly having confidential documents in his home, agreeing to cooperate with investigators ? raising the specter that higher-ranking ecclesial heads may soon roll.
Few believe butler Paolo Gabriele worked alone to leak dozens of documents shedding light on power struggles, corruption and intrigue inside the highest levels of the Catholic Church. The leaks have tormented the Vatican for months and painted a picture of a church hierarchy in utter disarray.
Gabriele, the pope's personal butler since 2006, was arrested Wednesday evening after Holy See documents were found inside his Vatican City apartment, adding an unfathomable Hollywood twist to the already sordid Vatileaks scandal. He remains in custody in a Vatican detention facility, accused of theft, and has met with his wife and lawyers.
Gabriele's lawyer, Carlo Fusco, said Monday his client was "very serene and calm," despite the whirlwind of speculation surrounding his arrest. He said Gabriele himself had told the Vatican judge investigating the case that he would "respond to all the questions and will collaborate with investigators to ascertain the truth."
Italian media reported Monday that a cardinal is suspected of playing a major role in the scandal. However, the Vatican spokesman, the Rev. Federico Lombardi, denied the reports categorically. He said many Vatican officials were being questioned but insisted "there is no cardinal under suspicion."
But Lombardi acknowledged that the investigation continues.
He also dismissed as "pure fantasy" a rash of other unsourced reports about the investigation in the Italian media, which have been on a frenzy ever since reports of Gabriele's detention emerged Friday.
Gabriele, a 46-year-old father of three, was always considered extremely loyal to Benedict and his predecessor, John Paul II, for whom he briefly served. Vatican insiders have said they were baffled by his alleged involvement, and Lombardi said Monday that the entire scandal has caused pain throughout the Vatican.
Pope Benedict XVI, who in March appointed a commission of cardinals to investigate the leaks, was being kept informed of developments and is "aware of the delicate situation that the Roman curia is going through," Lombardi said.
He acknowledged the "negative image" of the Vatican that was emerging from the scandal but said the developments made it ever more important to "reestablish a climate of clarity, truth, transparency and trust as soon as possible."
He said the Vatican intended to confront the scandal head on "clearly and without hiding anything to try to fully understand the situation."
The Vatileaks scandal broke in January when Italian journalist Gianluigi Nuzzi broadcast letters from the former No. 2 Vatican administrator to the pope in which he begged not to be transferred for having exposed alleged corruption that cost the Holy See millions of euros in higher contract prices. The prelate, Monsignor Carlo Maria Vigano, is now the Vatican's U.S. ambassador.
The scandal widened over the following months with documents leaked to Italian journalists that laid bare power struggles inside the Vatican over its efforts to show greater financial transparency and comply with international norms to fight money laundering. There was even a leak of a memo claiming that Benedict would die this year.
The scandal reached a peak last weekend, when Nuzzi published an entire book based on a trove of new documentation, including personal correspondence to and from the pope and his private secretary, much of which paints Benedict's No. 2, Cardinal Tarcisio Bertone, in a negative light.
Vito Mancuso, an Italian theologian, told reporters at a press launch of the book "His Holiness" that the documents, many of which point to Bertone's involvement in scandals that have afflicted the papacy, all appeared aimed at providing evidence for why he should resign.
"Looking at the documents in succession, it seems like you're seeing a series of bullets aimed at hitting Bertone," Mancuso said.
Bertone, 77, was Benedict's loyal No. 2 at the Congregation for the Doctrine of the Faith before being named secretary of state. With no diplomatic or broad administrative experience coming into the job, he has earned not a few critics inside the Vatican bureaucracy.
The Vatican probe into the leaks is actually working on several tracks: Vatican magistrates are pursuing the criminal investigation, and Gabriele was arrested as part of that. The Vatican secretariat of state is pursuing an administrative probe. And the three cardinals appointed by Benedict are acting in a sort of supervisory role, looking beyond the narrow criminal scope of the leaks to interview broadly across the Vatican bureaucracy, Lombardi said.
They report directly to the pope and can both share information with Vatican prosecutors and receive information from them, Lombardi said.
The group is headed by Cardinal Julian Herranz, an Opus Dei prelate who headed the Vatican's legal office as well as the disciplinary commission of the Vatican bureaucracy before retiring.
Gabriele's arrest occurred almost simultaneously with another stunning development inside the secretive walls of the Vatican: the ouster of Benedict's hand-picked president of the Vatican bank, Ettore Gotti Tedeschi, himself close to Opus. The bank's board took a vote of no-confidence last week to oust him for failing to do his job.
And it came amid new developments in one of the Vatican's most enduring mysteries, the case of Emanuela Orlandi, the 15-year-old daughter of a Vatican employee who disappeared in 1983 while on her way to a music lesson in Rome.
On Sunday, Orlandi's brother led a march to the Vatican in hope that Benedict would offer them a prayer following the unearthing of the tomb of a mobster alleged to have kidnapped her. The tomb, inside an Opus Dei church in Rome, yielded hundreds of old bone fragments that are being examined for a trace of the girl.

Bad news for owners of Sony's gaming-oriented smartphone -- the company said today that the Xperia Play won't be getting the upgrade to the latest version of Android that the company promised earlier.
When Sony announced last year?which of its models would be upgraded to Android OS 4.0 (Ice Cream Sandwich), the Xperia Play was on the list. Now, however, the company has released the following statement:
Ice Cream Sandwich demands more from the phone hardware than Gingerbread. Android 4.0 is a more powerful OS and thus, more resource intensive -- applications require more RAM, CPU power, and network bandwidth. From internal testing and feedback from the developer community on the beta ROM software release, we have seen a significant decline in user experience when running high performance games, as they are more demanding on the hardware. As gaming content is so integral to the core Xperia Play proposition, we cannot recommend an upgrade.
Sony is either prepping or has already released Android ICS upgrades for most recent models in its Xperia line. The only one of these to launch in the U.S. was the Xperia Play, however, which debuted last year from AT&T and Verizon.
The beta version of this upgrade for the Play that was released by Sony in the spring was almost an alpha and has significant limitations, including disabling Wi-Fi on the device.

MIAMI (AP) ? A cluster of thunderstorms that is expected to become Tropical Storm Beryl could make for a sloppy Memorial Day in the southeast.
Tropical storm warnings were in effect Saturday from northern Florida to South Carolina.
Beryl was technically still considered a "subtropical storm," but the system is expected to bring winds and rain to the area regardless of its official classification.
Tropical storm conditions ? meaning maximum sustained winds of 45 mph (72 kph) ? could reach the coast as early as Saturday night. Some coastal flooding is forecast, as the rain could cause high tides.
Late Saturday morning, Beryl was centered about 230 miles east-southeast of Charleston, S.C.
The southeastern coast is popular with tourists who visit to enjoy the beaches and wilderness areas.

Some app developers are seeking millions of users, others are angling for a big exit. This team wants to hear someone say that its app kept their marriage intact.
?That would be our measure of success,? said engineer?Tushar Chaudhary,?who founded the project along with designer?Vineet Gupta and engineer?Vinit Jain.
Chaudhary and?Jain have day jobs at Microsoft, which has encouraged its employees to develop Windows Phone apps on their own time.?Gupta worked previously at the Redmond company. (Msnbc.com is a joint venture of Microsoft and NBCUniversal.)
Kouply was inspired by the wife of one of?Chaudhary?s friends, who pointed out the potential impact of tracking ?brownie points? in a relationship. Her husband wasn?t a fan of the concept, but Chaudhary saw the potential and worked with?Jain and his wife to further develop the idea. Gupta joined as an experienced designer.
The founders acknowledge that some people might object to the notion of applying game mechanics to the institution of marriage ? supporting a sacred bond using the same psychology that motivates someone to spend hours slingshotting little birds at nefarious pigs.
But the Kouply founders believe their approach can help to address a serious problem.?Someday they even hope to see marriage counselors prescribe Kouply.
Kouply isn?t the only app pursuing this strategy of gamifying relationships. Another example is?PairSpark, a Seattle startup with apps for iPhone and Android.
Kouply is notable in part for its underlying privacy settings and sharing features. Couples are treated as individuals in relation to one another inside the app, with separate scores of their own, but they?re seen as single entity when viewed by their friends in Kouply or Facebook.
Through privacy settings, both members of a couple must agree to share a particular piece of information before it?s made public.
Couples can search and choose from a long list of preset acknowledgments with established points ? such as, ?bought me a present,? or ?went out on a date night,? among many others.?They can also give a custom acknowledgment, but those are set by default at 5 points to keep couples from gaming the system.
But will it really be natural for people to pull out their phones to give their significant others points for making them feel good? That?s where the Kouply founders say the psychology of games kicks in, as couples strive for higher scores together and individually.
Recognition breeds recognition, they say. It also breeds other things, but that?s another app entirely.

The Senate defense committee has agreed to spend another $50 million on the Pentagon?s manhunt for African rebel leader Joseph Kony, The Hill newspaper reported.
The Senate Armed Services Committee approved the money to "enhance and expand" intelligence and surveillance support for the roughly 100 American special forces troops and their Ugandan counterparts tracking Kony and his Lord's Resistance Army, The Hill reported.
The money is included in a fiscal 2013 defense bill draft approved Thursday, The Hill said.

Kony has evaded the region's militaries for nearly three decades, kidnapping tens of thousands of children to fill the ranks of his Lord's Resistance Army and serve as sex slaves as he moves through the bush. Thousands have been killed by his brutal army.
In 2005, the International Criminal Court indicted Kony, along with four other LRA commanders, for crimes against humanity and war crimes. Two of them have since died.
Kony was thrust into the spotlight earlier this year when the?advocacy group Invisible Children?s video, "Kony 2012," highlighting chilling mutilations, rapes and murders carried out by his spell-bound fighters, went viral on the Internet.
Last year President Barack Obama sent the 100 troops to help?eliminate the LRA.
The United States since 2008?has provided about $33 million to support?the battle against the LRA,?The New York Times reported in October when Obama sent the troops.
Ugandan forces on May 12 captured Caesar Acellam, a Kony senior commander, after a brief fight with rebels near the Congo-Central African Republic border?in what an analyst said was an "intelligence coup" for forces hunting for Kony.
In 2005, NBC News correspondent Keith Morrison traveled to Uganda to report on a little-known war being waged by rebel leader Joseph Kony and his Lord's Resistance Army (LRA). "Children of War" documented how the LRA systematically terrorized countless communities and abducted tens of thousands of children to fill its ranks.
